VEXILLUM ADVISORY

Mining Projects. Capital Strategy. Transactions. Execution.

Vexillum Advisory helps mining companies and mineral asset owners determine what their projects need next—and coordinate the expertise, capital strategy, counterparties, and execution required to move forward.

From stalled exploration assets and underdeveloped concessions to transaction-ready and near-production projects, we provide practical, commercially focused support built around clear milestones and informed decisions.

Turn Project Potential Into a Defined Path Forward

Mineral projects rarely stall because of a single issue.

The challenge may be an incomplete technical programme, unclear development priorities, limited internal capacity, weak investment readiness, an unsuitable transaction structure, or no defined route to production and market.

Vexillum Advisory helps project owners understand these interconnected challenges and establish a practical way forward.

We assess the project, identify material gaps, define the required workstreams, and—where appointed—coordinate the specialists and counterparties needed to support execution.

Our role is to bring structure, commercial focus, and accountability to complex project-development decisions.

Who We Help

Vexillum Advisory works selectively with mining companies, mineral asset owners, investors, and project stakeholders facing a defined development or commercial challenge.

Junior and Private Mining Companies

Companies that control promising assets but require additional capacity, specialist coordination, capital planning, or transaction support to reach the next milestone.

Concession Holders and Project Owners

Owners with mineral rights, historical information, exploration results, or local operating capability who need a structured pathway toward development, partnership, financing, or sale.

Near-Production and Small Producers

Operators requiring support with production readiness, processing strategy, commercial planning, offtake, working-capital strategy, or market access.

Investors and Acquisition Platforms

Investors seeking support with opportunity screening, project assessment, due-diligence coordination, transaction structuring, and post-acquisition development planning.

When to Speak With Vexillum

A Vexillum engagement may be appropriate when:

  • A project has stalled or lacks a clear development plan.
  • The owner is seeking a joint venture, strategic partner, investor, buyer, or operator.

  • Management is preparing for financing, due diligence, or a transaction.
  • The project requires external specialists but lacks a coordinated delivery structure.
  • A near-production asset needs a clearer route to processing, production, offtake, or market.
  • Several concessions or assets need to be evaluated as a consolidated portfolio.
  • Management needs an independent commercial perspective before committing further capital.

Start With a Project Screening

The Vexillum Project Screening is a focused, fixed-fee engagement designed for project owners who need an informed view of what their asset requires next.

It provides an efficient starting point before committing to a larger technical programme, capital process, transaction, or full advisory mandate.

Fixed Fee

US$2,500

Delivery

Normally within five business days following receipt of the required information.

The Project Screening includes:

  • An initial management consultation
  • Review of an agreed core set of project documents
  • High-level assessment of the project’s current stage and objectives
  • Identification of apparent development, information, capability, and commercial gaps
  • Preliminary assessment of transaction, capital, development, or market readiness
  • Recommended immediate priorities
  • A concise written screening memorandum
  • A findings call with the Vexillum Advisory team
  • A recommendation on whether a full Project Diagnostic or another engagement is appropriate

The Project Screening is paid in full before commencement.

Where a client commissions a full Project Diagnostic for the same project within 15 days, the US$2,500 screening fee may be credited against the diagnostic fee, subject to scope confirmation and engagement terms.

Progress to a Full Project Diagnostic

Where a deeper assessment is required, Vexillum can undertake a comprehensive Project Diagnostic.

The Project Diagnostic examines the project’s technical, organisational, capital, transaction, and commercial requirements and converts the findings into a prioritised execution roadmap.

Fixed Fee

From US$12,500

A standard Project Diagnostic may include:

  • Detailed management interviews
  • Broader review of available project information
  • Project-stage and objective assessment
  • Risk, opportunity, and capability-gap analysis
  • Development-pathway recommendations
  • Technical and specialist workstream requirements
  • Capital and transaction-readiness assessment
  • Commercial and market-access considerations
  • Prioritised 90-, 180-, and 365-day roadmap
  • Indicative milestones, dependencies, and decision gates
  • Management findings workshop
  • Comprehensive diagnostic report

The precise scope, timing, and fee are confirmed before appointment. Complex projects, portfolios, site visits, and external specialist requirements are quoted separately.

How an Engagement Works

01

Qualify

We begin with a confidential discussion to understand the project, the owner’s objectives, the immediate challenge, the available information, and the required timeline.

02

Screen

Where appropriate, we undertake a focused Project Screening to identify apparent gaps, immediate priorities, and the most suitable next step.

03

Diagnose

For projects requiring deeper assessment, we examine the relevant workstreams and develop a prioritised roadmap for advancement, capital preparation, transaction, or commercialisation.

04

Design

We define the required scope, milestones, specialist inputs, responsibilities, budget framework, and governance structure.

05

Mobilise

Once appointed, Vexillum assembles and coordinates the appropriate technical, financial, legal, operational, environmental, and commercial contributors.

06

Execute

We manage and support the agreed workstreams through the relevant project, financing, transaction, production, or commercial milestone.

One Coordinated Advisory Platform

Mining projects frequently require expertise from several independent disciplines. Managing those contributors without a clear strategy or single coordination point can increase cost, delay decisions, and fragment accountability.

Vexillum Advisory operates through a coordinated specialist model.

Vexillum Minerals LLC normally acts as the principal consulting counterparty, defining the overall scope, appointing and managing suitable subcontractors, coordinating delivery, and integrating the different workstreams into a coherent project strategy.

Where professional independence, regulation, licensing, insurance, lender requirements, or professional liability requires a clean contractual line, the relevant specialist may contract directly with the client. Vexillum may continue to coordinate that workstream under a separate advisory mandate.

This structure gives clients access to the expertise required for the engagement while maintaining clear responsibility for regulated and specialist professional work.

Built From an Owner and Operator Perspective

Vexillum Advisory forms part of a wider international mineral-development platform involved in asset evaluation, acquisition, project advancement, processing strategy, commercial relationships, and market access.

That perspective shapes how we advise clients.

We focus on the decisions, capabilities, counterparties, and milestones required to move a project forward—not on producing advice that remains disconnected from execution.

Our approach combines:

  • An asset-owner and developer mindset
  • Technical, financial, operational, and commercial coordination
  • Experience across emerging and established mining jurisdictions
  • Flexible access to specialist expertise
  • Capital-markets and transaction awareness
  • Processing, offtake, and route-to-market perspective
  • Selective engagement where Vexillum can add material value

Flexible Mandates Aligned With the Work

Following the Project Screening or Project Diagnostic, Vexillum may be appointed through:

  • Fixed-scope advisory mandates
  • Monthly retainers
  • Mobilisation and milestone payments
  • Project-management mandates
  • Transaction-support engagements
  • Retainer and completion-fee structures
  • Permitted success-based arrangements
  • Selected strategic or performance-aligned structures

All engagements are subject to scope confirmation, due diligence, conflicts review, regulatory considerations, and formal written agreement.

Managing Information and Potential Conflicts

Vexillum recognises that clients may share commercially sensitive project, ownership, technical, and transaction information.

Client information is treated as confidential and is used only for the agreed engagement.

Because the wider Vexillum group may participate in mineral development, acquisitions, partnerships, processing, trading, or offtake, any actual or potential conflict identified during an engagement will be disclosed and managed.

Vexillum will not use confidential client information for its own investment or commercial purposes without the client’s written consent.

If Vexillum wishes to participate in a project as an investor, buyer, development partner, operator, trader, or offtaker, that proposed role will be disclosed and documented under a separate agreement.

Important Scope Information

Vexillum Advisory provides strategic, project-development, commercial, transaction-support, and management-consulting services.

Vexillum does not represent that it provides regulated securities, brokerage, legal, audit, tax, engineering-certification, mineral-resource certification, or other regulated professional services unless expressly stated and delivered through an appropriately qualified and authorised provider.

Independent geological, engineering, environmental, legal, financial, competent-person, qualified-person, valuation, and other specialist work is undertaken by appropriately appointed professionals where required.

Vexillum does not guarantee financing, investment, regulatory approval, project development, production, transaction completion, or commercial outcomes.
